1.合同标物

客户委托而执行者承担完成下列服务的责任：

2.6 根据执行地国家为客户所选项目执行完备的法律支持

2.7 提供体外受精过程中必须的各项医疗服务（以合同附件为准

1.SCOPE OF THE CONTRACT

The client entrusts and the executor is responsible for completing the following services:

2. CONTRACTOR’S OBLIGATIONS

2.8 对代母的健康和怀孕的全过程进行风险监控，代母怀孕后，每个月依据当地产科医院的安排做常规的怀孕体检，并包括代母的酒精，吸烟以及毒品检测

2.8 Carry out risk monitoring on the health of the surrogate mother and the whole pregnancy process. 在履行 2.1-2, 13 条款指出的义务执行者遵照合同执行地的法律和本合同，而保证本合同所提供咨询、信息、法律服务符合这种服务标准的质量。

3. 客户义务

3.1 及时给执行者提供为办理本合同规定事务的所需要的文件（客户护照、结婚证）

3.CUSTOMER’S OBLIGATIONS

4. 服务支付和付款程序

4.1 在客户满足本合同 2.1 条款的情况下，本合同服务支付据附录 1 规定。

4.2 本合同付款作为预付或按本合同附录 1 规定的阶段后付款。

4.3 在客户为已提供服务未付款的情况下，执行者有权拒绝提供下一步服务。

4.4 本合同附录 1 规定的最后服务阶段付款后，2 天之内双方签署工作完成合同

5. 双方违约责任

4.COST OF SERVICES AND MANNER OF

PAYMENT

4.3 In the case that the customer has not paid for the services provided, the executor has the right to refuse to provide the next service.

5.LIABILITY FOR BREACH OF CONTRACT BY BOTH PARTIES

5.1 如果客户在国内做的检查报告结果与其在格鲁吉亚做的检查报告结果有显著差别, 比如客户有梅毒 , 人免疫力病毒，乙肝，丙肝、精子异常或者其它疾病导致不能进入程序，这种情况下按照下面条款执行:

5.1.1

合同取消，客户终止参与程序。同时公司免除任何没有完成合同与提前取消合同的责任;

5.1.2 客户根据合同赔偿给公司所有相关的费用，包括但是不限于: 身体检查与医学分析费用；在格鲁吉亚居住与食品的费用；翻译和交通服务费，寻找捐卵者与代母的费用等等；

公司有权利把所有以上的费用从客户已支付的服务费用中扣除，余额退款给客户。

5.1.3 :

- 客户转到适合他们目前身体情况的套餐并支付相应的费用。

5.2 在违反本合同义务（下称违约）的情况下，一方承担本合同和（或）执行地现行法律规定的责任。

5.3 不履行或不适当履行合同义务，即违反合同条件 , 是违约。

5.4 在不因一方的原因（出于故意或者过失）违约的情况下，一方不承担责任。

5.5 在一方证明采取了所有履行本合同需要措施的情况下，不承担责任。

5. 1.3:

7. 争议解决

7.1 因本合同引起的或是与本合同相关的所有争议、异议、纠纷、索赔，特别是涉及合同的解释、执行、违规、终止或无效事项，双方应先协商，协商无效的情况下，应由格鲁吉亚国际商事仲裁法院按照其规定进行解释

7.2 本合同为中文以及英文，同时具有法律效力。

1.1.9 医疗组织工作包含但并不仅限以上服务,整个合同执行期间客户在代孕过程中所涉及的一切合法的需求都是我们的工作范围。24/7 工作人员手机开机,处理问题。

1.2 代孕程序法律项目

1.2.1 客户公证处办理护照翻译，协同办理合同所需证件材料。.

1.2.2 律师核对代母候选人的法律文件,律师陪同代母候选人在《声明》上签字并公证签字文件,候选人家人《同意书》上签字,并公证签字文件,签署代孕《合同协议》公证。

1.2.3 协调组织提供给医院的代孕程序资料

1.2.4 协助办理孩子所需旅行证/护照。
